2.6

Termination

ASPA will have the right, from time to time and at any time, to cancel this Agreement or any portion hereof, with respect to which a Notice to Proceed has been given, as of any date specified by ASPA provided that it will have given the Manufacturer at least thirty (30) days prior written notice of such cancellation date. Any cancellation of any portion thereof pursuant to this section, will not affect the rights, interests, duties or obligations of either of the parties with respect to any portions hereof which have not been cancelled.

2.7

Cancellation

In the event that ASPA cancels this Agreement, or any portion thereof pursuant to Section 2.6 above, ASPA will pay to the Manufacturer the following:

      • 2.7.1.

        One hundred percent (100%) of the value of materials, equipment, components, supplies and services as determined as of such cancellation date.

      • 2.7.2.

        All other amounts payable by ASPA to the Manufacturer under this Agreement as of such cancellation date, including the aggregate incurred by Manufacturer in meeting cancellation charges from its subcontractors and vendors less the aggregate amount of all payments theretofore made by ASPA under this agreement.

      • 2.7.3.

        Payments to the Manufacturer under this section will be made within thirty (30) days of the date of presentation of the Manufacturer's agreed form of invoices to ASPA for the cancellation as set forth herein above.

    • 2.8

      Compliance with Laws, Rules and Regulations

      • 2.8.1.

        The Manufacturer will have and hereby assumes full and complete responsibility for producing a design for the Forklift trucks and their components and producing completed Forklift trucks and their components which will fully comply with all applicable regulatory rules, regulations, and requirements at the date of acceptance by ASPA, as such rules, regulations and requirements restrict or regulate in any manner the possession, operation, and use of the specific Forklift trucks and their required components.

      • 2.8.2.

        The Manufacturer shall submit to ASPA any requirements and information on licenses and/or permits which should be obtained prior to placing the Forklift trucks into service.
