words denoting any gender include all genders and words denoting the singular include the plural and vice versa;
reference to any person may include a reference to any firm, company or corporation;
reference to “day”, “week”, “month” or “year” means a calendar day, week, month or year, as appropriate, and reference to a working day means any day except Saturday, Sunday, Good Friday, Christmas Day and any Bank Holiday.
The headings in the Contract are inserted for convenience only and do not affect the construction or interpretation of the Contract.
The schedules to the Contract are and shall be construed as being part of the Contract.
Reference to any statute or statutory provision includes a reference to that statute or statutory provision as from time to time amended, extended, re-enacted or consolidated (whether before or after the date of the Contract), and all statutory instruments or orders made pursuant to it.
Any obligation relating to the completion and submission of any form that the Contractor is required to complete and submit to the PCT includes the obligation to complete and submit the form in such a format or formats (electronic, paper or otherwise) as the PCT may specify.
Any obligation on the Contractor to have systems, procedures or controls includes the obligation effectively to operate them.
Where the Contract imposes an obligation on the Contractor, the Contractor must comply with it and must take all reasonable steps to ensure that its personnel and contractors comply with it. Similarly, where the Contract imposes an obligation on the PCT, the PCT must comply with it and must take all reasonable steps to ensure that its personnel and contractors (save for the Contractor) comply with it.
Where there is any dispute as to the interpretation of a particular term in the Contract, the Parties shall, so far as is possible, interpret the provisions of the Contract consistently with the European Convention on Human Rights, EC law, the APMS Directions, and any other relevant regulations, orders or directions made under the Act.
