AUDITORS’ STATEMENT TO THE MEMBERS OF UNITED INDUSTRIAL CORPORATION LIMITED

We have examined the Summary Financial Statement set out on pages 7 to 17.

In our opinion, the Summary Financial Statement is consistent with the full financial statements and directors’ report of United Industrial Corporation Limited and its subsidiary companies for the financial year ended 31 December 2005 from which they were derived, and comply with the requirements of Section 203A of the Companies Act, and regulations made thereunder, applicable to Summary Financial Statement.

We have issued an unqualified audit report dated 24 February 2006 on the full financial statements of United Industrial Corporation Limited and its subsidiary companies for the financial year ended 31 December 2005. The audit report is as follows:

AUDITORS’ REPORT TO THE MEMBERS OF UNITED INDUSTRIAL CORPORATION LIMITED

We have audited the accompanying financial statements of United Industrial Corporation Limited set out on pages # to # for the financial year ended 31 December 2005 comprising the balance sheet of the Company and the consolidated financial statements of the Group. These financial statements are the responsibility of the Company’s directors. Our responsibility is to express an opinion on these financial statements based on our audit.

We conducted our audit in accordance with Singapore Standards on Auditing. Those Standards require that we plan and perform our audit to obtain reasonable assurance whether the financial statements are free of material misstatement. An audit includes examining, on a test basis, evidence supporting the amounts and disclosures in the financial statements. An audit also includes assessing the accounting principles used and significant estimates made by the directors, as well as evaluating the overall financial statement presentation. We believe that our audit provides a reasonable basis for our opinion.
